# Terms of Service

## 1. Agreement

These Terms of Service ("Terms") govern your use of "Smart Product Tagger"
(the "App"), a Shopify application provided by Acme sas ("Acme", "we",
"us"). By installing or using the App, you ("Merchant", "you") agree to
these Terms.

## 2. The Service

The App provides Shopify merchants with tools to:
- Filter products by sales performance, vendor, type, status, collections,
  inventory, and tags
- Apply or remove tags in bulk on selected products
- Process tag operations asynchronously via background queue
- Manage subscription plans with usage limits

## 3. Subscription Plans and Billing

The App offers three subscription tiers:
- Starter: USD 19/month, up to 500 products
- Growth: USD 29/month, up to 5,000 products
- Pro: USD 59/month, unlimited products

All plans include a 14-day free trial. Subscriptions are billed through
Shopify Billing API, integrated into your Shopify account billing.

## 4. Free Trial

A 14-day free trial begins when you approve a plan. No charges are applied
during the trial period. At the end of the trial, the monthly subscription
fee is automatically charged through Shopify, unless you uninstall the App
before the trial ends.

## 5. Cancellation

You may cancel your subscription at any time by uninstalling the App from
your Shopify admin (Settings → Apps and channels). Shopify handles prorated
refunds according to its standard policies.

Upon uninstallation:
- All subscription charges stop
- Your data is deleted within 48 hours (see Privacy Policy)
- No further obligations from either party

## 6. Usage Limits and Fair Use

Plan limits apply to the number of products visible and operable within
the App. Exceeding your plan limit does not block the App: you will see
the first N products allowed by your plan, with a notification suggesting
an upgrade.

Excessive or abusive use (e.g., automated scraping, API rate-limit
violations) may result in temporary suspension. We will notify you before
taking action whenever possible.

## 7. Merchant Responsibilities

You agree to:
- Comply with Shopify's Terms of Service and Acceptable Use Policy
- Use the App only for legitimate business purposes
- Maintain accurate billing information through Shopify
- Not attempt to reverse-engineer, decompile, or interfere with the App

## 8. Service Availability

We aim for high availability but do not guarantee uninterrupted service.
Scheduled maintenance, third-party outages (Shopify, Railway), or force
majeure events may cause temporary disruptions. We are not liable for
losses arising from such events.

## 9. Intellectual Property

The App and its content (code, design, branding) are the exclusive property
of Acme sas. These Terms grant you a limited, non-transferable license to
use the App during your active subscription. You retain ownership of your
store data.

## 10. Limitation of Liability

To the maximum extent permitted by law, Acme's total liability for any
claim related to the App is limited to the amount you paid in the 12
months preceding the claim. We are not liable for indirect, incidental,
or consequential damages (including lost profits, data loss, or business
interruption).

We are not responsible for:
- Errors in tag operations caused by user input
- Data lost due to Shopify-side actions or API changes
- Issues arising from third-party integrations or store modifications

## 11. Indemnification

You agree to indemnify and hold harmless Acme from any claims arising from
your misuse of the App or violation of these Terms.

## 12. Modifications

We may update these Terms. Material changes will be notified via the App
interface or email to active subscribers at least 30 days in advance.
Continued use after the effective date of changes constitutes acceptance.

## 13. Termination

We may suspend or terminate your access if you breach these Terms, with
prior notice when reasonable. You may terminate at any time by uninstalling
the App.

## 14. Governing Law and Jurisdiction

These Terms are governed by Italian law. Any disputes will be subject to
the exclusive jurisdiction of the competent courts of CASERTA,
Italy, unless mandatory consumer protection laws provide otherwise.
