Terms of Service — Omnibus Price Compliance

1. The service

Omnibus Price Compliance ("the App") is a Shopify application provided by Acme sas ("we", "us"), VAT 04576370615, that tracks product price history and displays the lowest 30-day price on your storefront to support compliance with EU Omnibus Directive 2019/2161.

2. Acceptance

By installing or using the App, you agree to these Terms. If you do not agree, do not install or use the App.

3. Subscription & billing

- The App is offered on a subscription basis through Shopify's billing system (Shopify Managed Pricing).

- A 7-day free trial is provided. After the trial, the fee for your selected plan applies.

- Fees are billed by Shopify and appear on your regular Shopify invoice.

- You may cancel at any time by uninstalling the App. Charges already incurred are non-refundable except where required by law.

4. Merchant responsibility

The App is a tool that assists with the display of price history. You remain solely responsible for your own legal compliance, including the accuracy of the prices shown and adherence to the Omnibus Directive and any national implementation (e.g. Italy's D.Lgs. 26/2023). The App does not constitute legal advice.

5. Availability

We strive for high availability but do not guarantee uninterrupted service. The App may be temporarily unavailable for maintenance or due to third-party outages (e.g. Shopify or hosting providers).

6. Limitation of liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, or consequential damages, including fines or penalties arising from non-compliance. Our total aggregate liability is limited to the fees you paid for the App in the 12 months preceding the claim.

7. Data protection

Our handling of data is described in our Privacy Policy, which forms part of these Terms.

8. Termination

You may terminate these Terms at any time by uninstalling the App. We may suspend or terminate your access in the event of a breach of these Terms or non-payment.

9. Governing law

These Terms are governed by the laws of Italy. Any dispute shall be subject to the exclusive jurisdiction of the competent courts of Italy.
